OLDSMOBILE CLUB OF AMERICA
HEART OF AMERICA CHAPTER
BY-LAWS

 

  • Article I - NAME
    • 1.1 - The name of the organization shall be, "THE HEART OF AMERICA CHAPTER".
    • 1.2 - This organization shall encompass the four state area of Missouri, Kansas, Nebraska, and Iowa, and operate under the charter of the parent organization, "THE OLDSMOBILE CLUB OF AMERICA".
  • Article II - PURPOSE
    • 2.1 - The purpose of the Heart of America Chapter shall be to help develop a program in accordance with the national club to promote and encourage the preservation and the heritage of the pioneering of automobile transportation by R.E. Olds and the Olds Motor Works.
  • Article III - OFFICERS
    • 3.1 - The officers shall be President, Vice President, Secretary, Treasurer, Newsletter Editor, and Officers of the Board.
  • Article IV - BOARD OF DIRECTORS
    • 4.1 - The Officers of the Board shall consist of the former President, former Vice President, and one at large member.
    • 4.2 - Three shall be a quorum.
    • 4.3 - In the event of a tie vote, the vote of the highest ranking member present shall not be counted.
  • Article V - VACANCIES
    • 5.1 - Any vacancies on the Board of Directors shall be filled by election at the next meeting; nomination for the position followed by a vote and not by appointment.
    • 5.2 - Under these circumstances, nominations and voting shall take place at the next meeting after the vacancy occurs.
  • Article VI - NOMINATIONS
    • 6.1 - Nominations for officers shall be by ballot. The ballot shall be included with the October newsletter and must be returned by Thanksgiving.
  • Article VII - DUTIES OF OFFICERS
    • 7.1 - The President, or other officers in descending rank shall conduct meetings.
    • 7.2 - The Vice President shall help the President with the business affairs of the organization.
    • 7.3 - The Treasurer shall keep the financial records of the chapter and shall furnish a financial and membership report at each meeting.
    • 7.4 - The Secretary shall keep accurate accounts of what transpires at each meeting, and shall give a reading of the minutes of any meeting at the next meeting.
    • 7.5 - The Chapter Representative shall represent the Heart of America Chapter in all matters pertaining to the Oldsmobile Club of America, and shall report to H.O.A.C. from time to time on matter pertaining to O.C.A.
    • 7.6 - The Newsletter Editor shall be responsible for the publication and distribution of the chapter newsletter.
    • 7.7 - In addition, all officers shall fill in during necessary times to handle routine pertaining to the club, and endeavor to hold the interest and good-will of the club members.
  • Article VIII - MEETINGS
    • 8.1 - The number of meetings of H.O.A.C. shall be determined by the membership, except that there shall be one required annual meeting each December for the purpose of the election of officers.
    • 8.2 - The month of January shall be the start of the annual year.
    • 8.3 - The effective date of change in officers shall take place at the first January meeting.
    • 8.4 - Special meetings may be called at the request of any four members of the board of officers.
    • 8.5 - The date and place of meetings shall be determined by the board and membership.
    • 8.6 - All meetings shall be conducted with recognized procedure and Parliamentary Procedures shall be governed by Robert’s Rules of Order.
    • 8.7 - The President, Vice President, or other officers shall notify all members by phone call and/or E-mail of the date, time and meeting place of each meeting.
    • 8.8 - There shall be a seven day phone call and/or E-mail notice for regular and special meetings.
    • 8.9 - For the purpose of regular and annual meetings, seven members shall constitute a quorum.
    • 8.10 - The Board of Directors may meet at the close of any regular, annual, or special meeting without a required notice.
  • Article IX - MEMBERSHIP
    • 9.1 - To qualify for membership in the Heart of America Chapter, you must be a member of the Oldsmobile Club of America, in accordance of O.C.A. by-laws.
  • Article X - DUES
    • 10.1 - The amount of annual dues shall be set by membership vote.
    • 10.2 - Dues shall run from January to January of the next year.
    • 10.3 - Only adult current dues paid members shall have the right to vote.
    • 10.4 - One vote allowed per membership.
  • Article XI - GOOD AND WELFARE
    • 11.1 - The Heart of America Chapter will cooperate with the national club and other national chapters to encourage and promote the annual convention.
    • 11.2 - The H.O.A.C. and its members may provide information to the O.C.A. which includes parts information, service data, cars for sale, parts available, etc., as provided in the Journey With Olds newsletter.
    • 11.3 - If a member does not exhibit good behavior and does not represent the high standards set forth by the O.C.A. and H.O.A.C., his or her membership may be revoked by a majority vote of the membership by secret ballot.
    • 11.4 - If a membership is revoked, the member in question will forfeit the remainder of his or her dues for the year.
  • Article XII - BY-LAWS
    • 12.1 - Any changes in the by-laws may be made by popular vote.
  • Article XIII - NEWSLETTER
    • 13.1 - The Heart of America Chapter shall publish a newsletter to be sent to all dues paid members.
    • 13.2 - The frequency of publication of the newsletter shall be bi-monthly.
    • 13.3 - The newsletter will be published by the Newsletter Editor.
  • Article XIV - JUDGING
    • 14.1 - The Board of Directors shall be called upon to select eligible cars for parades and car shows.
    • 14.2 - The availability of space in an activity shall be determined by the number of participants.
    • 14.3 - The cars of eligible members shall be judged on a point system unless otherwise stated. Points will be given on the quality of the car and the participation in support of H.O.A.C.
  • Article XV - DISSOLUTION
    • 15.1 - In the event all of the Board of Directors resign their respective posts of duty, the National Charter may not be returned to O.C.A. until after a majority vote of dissolution by members of the Heart of America Chapter.
